2. Scope of Services

ALBU EDUARD PFA provides website creation, management, and maintenance services through a monthly subscription. The standard package includes: custom website creation, hosting, .ro domain, SSL certificate, content updates, periodic backups, and uptime monitoring.

Optional services include monthly SEO optimization (keyword research, on-page optimization, Google Search Console reports), online booking integration, and online payment integration, according to the plan selected by the Client.

3. Term and Commitment

  • The contract has a minimum term of 12 months from the date of signing.
  • After the minimum period expires, the contract automatically renews on a month-to-month basis, with the option to cancel with 30 days' notice.
  • Cancellation during the minimum period incurs a penalty equal to the remaining subscription fees until the end of the contractual year.

4. Pricing and Payment

4.1 Rates

Current rates are available at sitecare.ro/en#pricing. Prices are expressed in RON and include VAT where applicable.

4.2 Payment method

  • Payment is made monthly, in advance, by the 5th of each month.
  • Accepted payment methods: bank transfer, online card payment.
  • The fiscal invoice is issued within 5 business days of payment confirmation.
  • The first month of services is invoiced at contract signing.

4.3 Late payments

  • Payment delays exceeding 10 days may result in temporary suspension of services.
  • Payment delays exceeding 30 days may result in contract termination, with loss of access to the website.

5. Service Provider Obligations

The Provider undertakes to deliver the contracted services to the agreed standards and to maintain website uptime at a minimum of 99% per month, except for pre-notified planned maintenance windows.

  • To deliver a functional website within 48 hours of the first consultation call, provided the Client supplies all required materials.
  • To carry out content updates requested by the Client within 48 business hours of receiving the request.
  • To perform software updates (CMS, plugins, themes) according to a planned schedule:
    • Planned updates — within 5 business days, with prior notification.
    • Critical security updates — within 24 hours of patch release.
  • To perform complete website backups at least once per week.
  • To notify the Client within 24 hours of any unplanned service interruption.

6. Client Obligations

  • To provide all required materials (texts, images, logo, business information) in a timely manner for website creation and updates.
  • To pay the monthly subscription within the agreed deadlines.
  • Not to use the services for illegal activities, offensive content, spam, or any activity that may harm the reputation of SiteCare or third parties.
  • To notify the Provider of any error or issue identified on the website within 72 hours of discovery.

7. Intellectual Property

7.1 Content provided by the Client (texts, images, logo, data) remains the exclusive property of the Client.

7.2 The source code, graphic design, templates, and components created by the Provider remain the intellectual property of ALBU EDUARD PFA during the contract term.

7.3 Upon termination of the contract, the Client receives a complete archive of the website files and database, acquiring the right to unlimited use thereof.

7.4 The Client may not resell, sublicense, or transfer rights over the delivered source code without the written consent of the Provider.

7.5 The Provider reserves the right to include the Client's website in its own portfolio, mentioning the business name, unless the Client objects in writing.

7.6 Any design or code element developed specifically for the Client may not be reused by the Provider for a direct competitor from the same city and same industry without the Client's prior consent.

7.7 The Client warrants that materials provided to the Provider (texts, images, logo) do not infringe the intellectual property rights of third parties and indemnifies the Provider against any claims in this regard.

8. Confidentiality

8.1 Both parties undertake to maintain the confidentiality of commercial, technical, and personal information exchanged within the contractual relationship.

8.2 The Provider processes the Client's personal data exclusively for the purpose of contract execution, in accordance with Regulation (EU) 2016/679 (GDPR). Data processed includes:

  • Identification and contact data (name, email, phone, address).
  • Billing data (Tax ID, fiscal address).
  • History of communications and requests.

8.3 Data is stored on Vercel servers (EU/USA) and protected by appropriate technical and organizational measures. It is not sold or transferred to third parties for commercial purposes.

8.4 The Client has the right of access, rectification, erasure, and portability of their data by submitting a request to contact@sitecare.ro.

9. Limitation of Liability

9.1 The Provider is not liable for:

  • Loss of profit or revenue caused by temporary service interruptions.
  • Damages caused by Client-provided content that infringes third-party rights.
  • Consequences of extraordinary cyberattacks (zero-day exploits) exceeding standard security capabilities.
  • Interruptions caused by third parties (hosting providers, domain registrars, energy suppliers).

9.2 The Provider's total liability to the Client, regardless of the nature of the damages, is limited to the value of subscriptions paid in the last 3 calendar months prior to the damaging event.

10. Termination

10.1 Termination by the Client

The Client may terminate the contract with 30 days' written notice sent to contact@sitecare.ro, after the minimum 12-month period has expired.

10.2 Termination by the Provider

The Provider may terminate the contract with 30 days' notice or immediately in the event of a serious breach of contractual obligations by the Client (non-payment for more than 30 days, illegal use of services).

10.3 Consequences of termination

  • On the termination date, the Provider will make available to the Client a complete archive of the website files and database.
  • Hosting and domain will remain active until the end of the already-paid period.
  • After that, the website will be deactivated and files deleted from the Provider's servers.

10.4 Service transfer

  • The Client may request transfer of the .ro domain to another registrar, based on an authorization code provided by the Provider.
  • Transfer of the database and files is carried out in standard format (SQL dump + ZIP archive).
  • The Provider is not obligated to ensure compatibility of exported files with the technical platform of another provider.
  • Domain transfer cost: free of charge.
  • File archiving and delivery cost: free of charge.

11. Force Majeure

Neither party shall be liable for failure or improper execution of contractual obligations caused by force majeure (natural disasters, armed conflicts, governmental decisions, major national or international internet infrastructure outages). The affected party shall notify the other party within 48 hours and shall make all reasonable efforts to limit the effects of the event.

12. Governing Law and Disputes

This contract is governed by Romanian law. Any dispute shall be resolved amicably within 30 days of notification. If amicable resolution fails, the dispute shall be submitted to the competent courts of Cluj-Napoca, Romania.

13. Changes to These Terms

ALBU EDUARD PFA reserves the right to modify these terms with 30 days' notice, communicated by email to the Client's registered address. Continued use of the services after the notice period constitutes acceptance of the new terms.
